ACCESS TERMS AND ELECTRONIC SIGNATURE — Nonprofit City Guide — New York By checking the box below and submitting this form, I agree to the following terms with World NGO Day (the "Publisher"): 1. Limited licence. The Publisher grants me a personal, non-exclusive, non-transferable, revocable licence to read the above publication (the "Guide") online through the Publisher's platform, for my own professional or personal reference only. 2. No distribution. I will not copy, download, extract, screenshot for redistribution, print for third parties, republish, post publicly, transmit, sell, sublicense, lend or otherwise make the Guide or any substantial part of it available to any other person or organisation, by any means, whether or not for payment. 3. No derivative or commercial use. I will not create derivative works from the Guide, nor use its contents to build, train or populate any database, mailing list, directory, model or competing product. 4. Intellectual property. The Guide, its text, data, design, illustrations and compilation are the exclusive property of World NGO Day and its contributors, protected by United States and international copyright law. No ownership right is transferred to me. 5. Confidentiality of pre-release material. Where the Guide is marked confidential or pre-release, I will treat it as confidential information and will not disclose it before its public release date. 6. Accuracy and no reliance. The Guide is provided "as is", for information only. It is not legal, tax, financial or professional advice, and the Publisher gives no warranty as to accuracy or fitness for a particular purpose. 7. Limitation of liability. To the maximum extent permitted by law, the Publisher's aggregate liability arising from the Guide or my access to it shall not exceed one hundred United States dollars (US$100). 8. Suspension and revocation. The Publisher may suspend or revoke my access at any time, without notice, if it reasonably believes these terms have been breached. 9. Remedies. I acknowledge that unauthorised distribution would cause irreparable harm for which damages alone are inadequate, and that the Publisher is entitled to seek injunctive relief in addition to any other remedy, including recovery of reasonable attorneys' fees. 10. Data. I consent to the Publisher storing the information I submit and contacting me about this Guide, related editions and World NGO Day initiatives. I may withdraw consent to marketing at any time. 11. Governing law. This agreement is governed by the laws of the State of New York, United States, and I submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York. 12. Electronic signature. I intend to sign electronically. I agree that checking the acknowledgement box and submitting this form constitutes my electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. ch. 96) and the Uniform Electronic Transactions Act, and has the same legal force as a handwritten signature. I understand that my name, email address, IP address, device information and the exact date and time (UTC) of this acceptance are recorded as evidence of execution, and that a cryptographic hash of this record is retained.
